Minority Waiver allowed

The NCLT has reiterated that the statutory threshold under Section 244 is not intended to defeat genuine grievances of minority shareholders. Holding that a shareholder cannot be compelled to secure support from unwilling shareholders where the majority exercises overwhelming control, the Tribunal exercised its discretion to waive the eligibility requirements and permitted the oppression and mismanagement petition to proceed on merits.
